Notice of Special General Meeting

Please be advised that on September 30, 2020 from 7 to 9 p.m., the University Neighbourhoods Association (UNA) will convene a Special General Meeting (SGM) of its members for the purposes of considering two special resolutions proposing that the current UNA Bylaws and UNA Constitution be replaced with a new set of Bylaws and Constitution.
There will be two special resolutions to vote on.
Special Resolution A: BE IT RESOLVED, as a special resolution by a majority of not less than two thirds of the members who vote at the Special General Meeting of members of the Association, duly called and validly constituted, that the current set of Bylaws of the Association be repealed and replaced with the set of proposed Bylaws of the Association referred to in the notice of this Special General Meeting.
Special Resolution B: BE IT RESOLVED, as a special resolution by a majority of not less than two thirds of the members who vote at the Special General Meeting of members of the Association, duly called and validly constituted, that the current Constitution of the Association be repealed and replaced with the proposed Constitution of the Association referred to in the notice of this Special General Meeting.
Due to restrictions on community gatherings and to support physical distancing during the COVID-19 pandemic, the Minister of Public Safety and Solicitor General for the Province of British Columbia has issued Order No. 116, Electronic Attendance at Corporate Meetings, permitting individuals to attend corporate meetings by telephone or other communications medium.
The Board of Directors of the Association has determined that the SGM will be convened through video conference (Zoom). UNA Members will receive a link to join the virtual town hall meeting through their email addresses on file with the UNA.
Members may vote on the special resolutions either online or by proxy (appointed proxy holders will vote by paper ballot at the SGM).
UNA Members will receive an SGM package in the mail by the second week of September 2020. This package will contain the UNA SGM Booklet with further instructions on how to vote and a guide to the proposed changes to the UNA Bylaws and Constitution.
